September 24, 1993
Company “Severstal” was founded on September 24, 1993 pursuant to Decree No. 66 of the President of the Russian Federation dated January 29, 1992 and Decree No. 721 of the President of the Russian Federation dated July 1, 1992. On the date of incorporation Severstal’s share capital was RUB 5,518,548 divided into 5,518,548 shares with a nominal value of RUB 1,000 each (in undenominated rubles of 1997).
The end of 2004
After Severstal’s shares were split by the end of 2004 its share capital was divided into 551,854,800 shares with a nominal value of RUB 0.01 each and equaled to RUB 5,518,548.
April 11, 2006
On March 27, 2006, the Extraordinary General Meeting of JSC “Severstal” approved the increase of the Company’s share capital by issuing additional shares via closed subscription to consolidate mining assets. The additional share issue of JSC “Severstal” was registered by Federal Service on Financial Markets of Russia on April 11, 2006 (under the state registration number of 1-02-00143-A-001D) in the amount of 397,518,300 shares with a nominal value of RUB 0.01 each.
May 03, 2006 - June 07, 2006.
Actual placement of Severstal’s securities started on May 03, 2006 and was over on June 07, 2006. Overall, Severstal allocated 378,929,863 shares of additional issue, 13,516,489 of which were acquired by shareholders with preemptive rights and 365,413,374 were swapped with Frontdeal Ltd. (sole participant of the closed subscription) in exchange for its stakes in mining companies.
October 17, 2006
The second additional issue of Severstal’s ordinary shares was registered by Federal Service on Financial Markets of Russia on October 17, 2006 (under the state registration number of 1-02-00143-A-002D) in the amount of 85,000,000 shares with a nominal value of RUB 0.01 each; method of share placement – public offering.
November 17, 2006 - November 28, 2006
Actual placement of Severstal’s securities started on November 17, 2006 and was over on November 28, 2006. In total, Severstal allocated 76,916,692 shares of additional issue.
In July 2012, 169,982,695 shares were cancelled. This completed Severstal's programme, initially announced on February 29, 2012, to transfer and cancel a number of treasury shares (treasury shares were previously separated from shares outstanding due to Nordgold, the Company's gold segment, separation in January 2012).
